1. Introduction and Acceptance

Welcome to the Nomads Community platform (the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of our Platform, services, and community features.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

Nomads is operated by Nomads B.V., registered in the Netherlands ("we," "our," or "us").

2. Eligibility

To use the Platform, you must:

• Be at least 16 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

3. Account Registration and Security

3.1 Account Creation

During the invite-only preview phase, access to the Platform is by invitation only. You may create an account by:

• Accepting an email invitation from Nomads
• Providing required information (name, email, password)
• Agreeing to these Terms and our Privacy Policy

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

3.3 Account Accuracy

You agree to provide accurate, current, and complete information in your profile and to update it promptly if it changes. Misrepresentation of your identity, skills, or experience may result in account suspension or termination.

4. User Conduct and Responsibilities

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload or transmit viruses, malware, or malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect or harvest personal data without consent
• Interfere with or disrupt the Platform's functionality
• Use automated systems (bots, scrapers) without authorization

4.2 Professional Conduct

As a member of the Nomads Community, you agree to maintain professional standards in all interactions, communications, and work engagements facilitated through the Platform.

5. Work Opportunities and Matching

5.1 Opportunity Matching

The Platform may match you with work opportunities based on your profile, skills, and preferences. By opting in to work opportunities:

• You consent to being contacted about relevant projects
• You agree to respond to opportunities in a timely manner
• You understand that matches are not guarantees of employment

5.2 Independent Relationships

Nomads facilitates connections between creative professionals and opportunities. We do not guarantee work placements, and any contractual relationships formed through the Platform are between you and the engaging party, not with Nomads.

5.3 Work Agreements

You are solely responsible for negotiating terms, contracts, rates, and deliverables for any work opportunities. Nomads is not a party to these agreements unless explicitly stated otherwise.

6. Intellectual Property Rights

6.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, software, and design, is owned by Nomads or our licensors and protected by intellectual property laws.

6.2 User Content

You retain ownership of content you upload to your profile (portfolio, CV, etc.). By uploading content, you grant Nomads a non-exclusive, worldwide, royalty-free license to:

• Display your content on the Platform
• Share your profile with potential work opportunities
• Use anonymized data for platform improvement

6.3 Representations and Warranties

You represent and warrant that you have the right to upload and share all content in your profile and that it does not infringe upon third-party rights.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you consent to our data practices as described in the Privacy Policy, including data processing for work opportunity matching and platform improvement.

8. Data Retention and Account Deletion

8.1 Data Retention

During the Platform onboarding process, you will be asked to confirm your preference for data retention. You can choose to:

• Accept: Keep your profile active and participate in the community
• Decline: Have your profile and data permanently deleted

8.2 Account Deletion

You may request account deletion at any time. Upon deletion:

• Your profile will be permanently removed within 30 days
• Personal data will be deleted in accordance with our Privacy Policy
• Some data may be retained for legal compliance or legitimate business purposes

9. Fees and Payments

During the preview phase, access to the Platform is free of charge. We reserve the right to introduce fees for certain features or services in the future, with advance notice to users.

Any fees for work engagements facilitated through the Platform are separate and governed by agreements between you and the engaging party.

10. Disclaimers and Limitations of Liability

10.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding accuracy or reliability of information

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOMADS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use the Platform
• Actions or omissions of other users or third parties

10.3 Maximum Liability

In jurisdictions that do not allow exclusion of liability, our total liability to you shall not exceed €100 (one hundred euros).

11. Indemnification

You agree to indemnify, defend, and hold harmless Nomads, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your infringement of third-party rights
• Your work engagements or professional conduct

12. Termination and Suspension

12.1 Termination by You

You may terminate your account at any time by requesting deletion through your account settings or contacting us.

12.2 Termination by Nomads

We reserve the right to suspend or terminate your account, with or without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account has been inactive for an extended period
• We discontinue the Platform or specific features

12.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will remain in effect.

13. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email or through a prominent notice on the Platform
• Provide a reasonable notice period before changes take effect

Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and may delete your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

14.2 Dispute Resolution

In the event of a dispute, you agree to:

• First attempt to resolve the matter informally by contacting us
• Submit to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands

14.3 Class Action Waiver

To the extent permitted by law, you agree to bring claims only on an individual basis and not as part of a class action or representative proceeding.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Nomads regarding use of the Platform.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

15.5 Third-Party Rights

These Terms do not create any third-party beneficiary rights.
